Terms of Service for ‘Keep Me Safe’ and ‘I am Safe’ App Usage
Important Cross-platform Information!
If you are using our Android app and are connected with someone else using our Android app, you will be able to enjoy all the features of the app as we have advertised. But if you are connected to someone using our iOS app, the following features will not be available to you – Video Recording, Audio Recording, App Statistics, SOS via volume control. All other features are available.
Terms of Service for ‘Keep Me Safe’ App Usage
Please read these terms and conditions (“Terms of Service”) carefully before using any of our services. These Terms of Service represent the agreement (“Agreement”) between you and Spreadit Limited with respect to any Software or Services developed/offered by Spreadit Limited. (Later referred to as “Keep Me Safe”, “KeepMeSafe.tech”, “Spreadit Limited” or we, us. Spreadit Limited’s services and applications can be referred to as our, ours, the software, the service, app, ‘Keep Me Safe’).
All references herein to “you” and “your” means you who creates an account on the Service, your employees, agents, family members and contractors, and any other entity on whose behalf you accept these terms and conditions, all of whom shall also be bound by this Agreement. If the Service is being used on behalf of an entity by an individual authorized to agree to such terms on behalf of such entity, then “You” refers to the entity. If You are accessing the Service on behalf of Your employer, you represent and warrant that You have the authority to agree to these Terms of Service on its behalf.
Your use of the KeepMeSafe.tech’s web site or any of Spreadit Limited’s applications indicates that you accept these terms and conditions. If you do not accept these terms and conditions, do not launch or otherwise use any application or service developed by Spreadit Limited.
By using our services, you allow your phone, watch or any GPS hardware to be located in real-time and these locations to be recorded, compiled, stored and displayed, or otherwise processed.
· Our services may or may not provide you with any hardware devices.
· Do NOT use our services and mobile applications while driving!
· Do NOT use our services for spying or other illegal activity.
· Do NOT use our services to protect life!
· We specifically disclaim any expressed or implied warranty or fitness of high-risk activities!
· We do not take any responsibility for your activities, always check the local laws before using our services!
· Any kind of illegal or unfair usage (as in defined by your local and international authorities) is entirely your responsibility!
· You are responsible for any fees assessed by your wireless telephone carrier to access our services, including any data charges, roaming fees, SMS, MMS or other telephone, mobile internet or GPRS connection charges.
· We do not guarantee service functionality or security, and storage of received information. We do not take responsibility for the third-party services used in our services and applications (e.g. map providers, server hosts, etc.)
· We are not responsible for the safety of your spouse, son, daughter, father, mother, any relation, drivers, employees and vehicles or other properties.
· Any damage caused to you or a third party’s properties is entirely your responsibility.
· We reserve the right to interrupt services or restrict service to any device without notice if you are using the device in a fraudulent or unlawful manner.
· We reserve the right to change the conditions of free services at any time without prior notification.
Our Service and Software uses GPS, wireless (WIFI, Cellular data, etc.) and web technologies to provide location reporting services. You agree that the installed application (e.g. Keep Me Safe or other application) periodically receives real-time location, phone number, battery state, or other data from your wireless devices. You allow your and / or your loved ones’ GPS hardware (smartphone, mobile phone / cell phone, tablet, etc.) to be located and to be collected data from and these locations and other data to be recorded, compiled, stored and displayed. You may also transmit data to and from you’re tracked devices.
To use our services, you need a mobile device or GPS watch and must download and install the Keep me Safe app. Our service must not include any hardware devices. Our services also work with smart phone or GPS smartwatches, but the service doesn’t include these devices in this case either. Any hardware needed has to be purchased by you.
CARRIER, SIM CARD ROAMING AND OTHER CHARGES
You are responsible for any fees assessed by your carrier to access our services, including any data plan charges, roaming, or other telephone, mobile internet or connection charges. Standard messaging rates and other charges may apply when using certain features of our tracking service. A pre-paid SIM card is recommended with roaming disabled to avoid unwanted charges. Bear in mind that live tracking is available anywhere in the world if roaming is enabled on your device or you are connected to a WIFI. Roaming cost can be substantial depending on the foreign network operators of which Spreadit Limited has no control of whatsoever, therefore, the customer must authorize this service and be solely responsible for the total cost arising from it. Under no condition can Spreadit Limited be held responsible for any cost as a result of using our services.
SERVICE COVERAGE, QUALITY, DOWN TIMES
Our Tracking Service works all around the world. However, we rely on the services of GPS Satellites and local carriers to deliver its services which are not under our control. Therefore, we cannot be held responsible if there is poor or no GPS or mobile network reception. We do not guarantee service functionality or security, and storage of received information. You use our services at your own risk. The service is provided “As Is”. We do not take any responsibility and our service cannot be customized for user needs.
We may perform regularly scheduled maintenance in the timeframes set out by us at our own discretion. We will notify you in advance in such cases. Other scheduled and unscheduled down times or technical problems may occur. Such maintenances, down times and technical problems may lead to the temporary inaccessibility of the Service, which may not constitute a breach of this agreement.
UNSAFE AND UNLAWFUL USE
Do not use our services and mobile application while driving! We do not take any responsibility for accidents or any harmful events caused by the improper use of our services, mobile applications or other solutions. Do not use our tracking service (especially the mobile app), unless your vehicle is stationary and parked in a safe place. You agree to comply with all laws while using the services and will not transmit any communication that would violate any federal, state, or local law, court ruling, or regulation. Do not use the service or any of our applications for spying or other illegal activity. Spreadit Limited does not take any responsibility for your activities, always check the local laws before using our services. Any kind of illegal usage is your responsibility! You must not, in the use of the service, violate any laws in your jurisdiction (including but not limited to copyright laws).
You must not use the service in any way that causes, or may cause, damage to the service or impairment of the availability or accessibility. You must not modify, adapt or hack the service or modify another website so as to falsely imply that it is associated with the service or Spreadit Ltd. You must not transmit any worms or viruses or any code of a destructive nature.
Do not use our service where it is not allowed to be used by local laws, such as airports, hospitals, etc.
HIGH RISK ACTIVITIES
Our tracking service is not fault-tolerant and is not designed or intended for use as on-line control equipment or monitoring of high risk valuables requiring fail-safe performance, such as Gold, Diamond, Cash, or Weapons Tracking, in which the failure of the tracking system could lead to loss of lives, personal injury or severe financial, physical or environmental damages or losses (“High Risk Activities”). Do not use our services for protecting life! Spreadit Limited specially disclaims any express or implied warranty or fitness of high-risk activities!
UPLOADED AND GENERATED CONTENT
Content must not be illegal or unlawful, must not infringe any person’s legal rights, and must not be capable of giving rise to legal action against any person (in each case in any jurisdiction and under any applicable law).
We may, but have no obligation to, remove Content and Accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.
We claim no intellectual property rights over the data, works and materials uploaded or stored by you under the service or generated by the service as a result of the use of the service by you (hereinafter: Content) to the Service. Your profile and Contents remain yours. However, by sharing your Content, you agree to allow others to view and share your Content as necessitated by the nature and technical characteristics of the Service. We will not disclose or use Content except to operate, maintain, and perform the service, or to comply with laws.
You understand and agree that Spreadit Limited cannot be responsible for any content posted on the Service by you or any user of the Service. We do not pre-screen Content, but we have the right (but not the obligation) in our sole discretion to refuse or remove any Content that is available via the Service.
In the course of using the Service, you may upload personal data to the Service. In connection with such use of the Service, you will (i) obtain all legally required consents before making any personal data available in the Service, and maintain those consents until such data are deleted and (ii) delete all personal data provided that the necessary consents expire or are withdrawn. You will not use the Service in conjunction with personal data to the extent that doing so would violate applicable data protection laws.
In the course of using the Service, you may upload data to the Service which may be of a confidential nature or copyrighted material, trademarks, patents, trade secrets, and other proprietary information which may belong to your or a third party’s intellectual property. You will retain all intellectual property and other rights thereto. However, you hereby agree that Spreadit Ltd. shall have an unlimited, royalty-free, worldwide and perpetual license to use, copy, distribute, practice and make derivatives works of, under any intellectual property rights you may have, to the extent necessary for the operation of the Service and the exercising of our rights under this agreement. By providing Content to Spreadit Ltd., you represent and warrant that you have the right to provide such Content to us and such Content does not infringe, misappropriate, violate or contravene any laws, regulations or third party rights (including, without limitation, any rights in Intellectual Property).
Within 180 days following termination of Your Account or expiry of the agreement to use the Service, Spreadit Limited will destroy all data available within the Service. Such deletion will also be performed if any of Your authorized users initiates such a deletion process within the Service. You will be responsible to make a copy of all such data before such deletion.
Internet transmissions are never completely private or secure. You understand that any message or information you send to KeepMeSafe.tech may be read or intercepted by others, unless there is a special notice that a particular message is encrypted (sent encoded). Sending a message to us does not cause Spreadit Limited to have any special responsibility to you.
You understand that the technical processing and transmission of the Service, including your Content, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
You are responsible for maintaining the security of your account and password. You shall use reasonable endeavours, including reasonable security measures relating to Account access details to ensure that no unauthorized person may gain access to the service using your account. You shall immediately notify Spreadit Limited of any unauthorized disclosure. Spreadit Limited cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
You are responsible for all content posted and activity that occurs under your account (even when Content is posted by others who have accounts under your account), including all content posted and activity by any person who gains access to the service even if such access or use was not authorized by you. Violation of any of the terms will result in the termination of your Account.
Upon your acceptance of the terms of this Agreement Spreadit Limited grants you with a non-exclusive, non-transferable, personal license to download and use our mobile applications (e.g. Keep Me Safe) in the form they have been provided to you (object code executable) and to access and use other online and offline services provided by KeepMeSafe.tech. The license provided to you will be void upon your failure of compliance with this Terms of Service agreement, or upon any cancellation, suspension or termination of your access to our tracking service.
Except for the limited license (see above) expressly granted upon your acceptance of these terms, Spreadit Limited reserves all right, title and interest in and to our tracking software, including but not limited to all intellectual property rights therein.
You agree not to do any of the following:
– Reverse engineer, decompile, disassemble, translate, modify, alter or otherwise change the tracking software, or any other software developed by Spreadit Limited or any part thereof.
– Attempt to derive the source code, audio library or structure of our tracking software without the prior express written consent of Spreadit Limited.
– Remove from our tracking software, or alter, any of Spreadit Limited’s or its suppliers’ trademarks, trade names, logos, patent or copyright notices, or other notices or markings.
– Distribute, sublicense or otherwise transfer the software to others, unless you have valid distribution contract signed between you and Spreadit Limited.
Prior to its commercial use, Spreadit Limited may give you access to its service as a Trial period, at no charge. Multiple notifications may or may not be sent to you prior to the expiry of the Trial period. In order to start the commercial use of the service after the Trial period, you will need to select a subscription plan and the required invoicing and payment information will have to be provided.
Our tracking software, with ALL its features is available to everyone during the testing phase, free of charge. After the end of the testing period, our services will completely or partly be liable to a monthly and/or daily fee. A detailed description of these fees shall be sent to all of our customers, who can then decide whether to further employ our services. The usage of our softwares and services may be free of charge under defined conditions. In case of exceeding defined limitations subscription to the paid service will be required. You will never be charged without your prior consent. KeepMeSafe.tech reserves the right to change the conditions of free services at any time without prior notification.
Generally. From time to time, Keep Me Safe may offer products and services for purchase (“in app purchases”) through iTunes, Google Play, carrier billing, direct billing or other payment platforms authorized by Keep Me Safe. If you choose to make an in app purchase, you will be prompted to confirm your purchase with the applicable payment provider, and your method of payment (be it your card or a third party account such as Google Play or iTunes) (your “Payment Method”) will be charged at the prices displayed to you for the service(s) you’ve selected as well as any sales or similar taxes that may be imposed on your payments, and you authorize Keep Me Safe or the third party account, as applicable, to charge you.
Auto-Renewal. If you purchase an auto-recurring periodic subscription, your Payment Method will continue to be billed for the subscription until you cancel. After your initial subscription commitment period, and again after any subsequent subscription period, your subscription will automatically continue for an additional equivalent period, at the price you agreed to when subscribing. If you do not wish your subscription to renew automatically, or if you want to change or terminate your subscription, you will need to log in to your third party account (in this case iTunes or Google Play or click the Cancel subscription link in the payment page of the Keep Me Safe app) and follow instructions to cancel your subscription, even if you have otherwise deleted your account with us or if you have deleted the Keep Me Safe application from your device. Deleting the Keep Me Safe application from your device does not cancel your subscription; Keep Me Safe will retain all funds charged to your Payment Method until you cancel your subscription on Keep Me Safe or the third party account, as applicable. If you cancel your subscription, you may use your subscription until the end of your then-current subscription term, and your subscription will not be renewed after your then-current term expires.
Refunds. Generally, all charges for purchases are nonrefundable, and there are no refunds or credits for partially used periods. We may make an exception if a refund for a subscription offering is requested within fourteen days of the transaction date, or if the laws applicable in your jurisdiction provide for refunds.
For subscribers who reside in Arizona, California, Connecticut, Illinois, Iowa, Minnesota, New York, North Carolina, Ohio and Wisconsin, the terms below apply:You may cancel your subscription, without penalty or obligation, at any time prior to midnight of the third business day following the date you subscribed.
In the event that you die before the end of your subscription period, your estate shall be entitled to a refund of that portion of any payment you had made for your subscription which is allocable to the period after your death. In the event that you become disabled (such that you are unable to use the services of Keep Me Safe) before the end of your subscription period, you shall be entitled to a refund of that portion of any payment you had made for your subscription which is allocable to the period after your disability by providing the company notice in the same manner as you request a refund as described below.
To request a refund:
If you subscribed using your Apple ID, refunds are handled by Apple, not Keep Me Safe. To request a refund, go to iTunes, click on your Apple ID, select “Purchase history,” find the transaction and hit “Report Problem”. You can also submit a request at https://getsupport.apple.com.If you subscribed using your Google Play Store, please send an email to email@example.com with your order number for the Google Play Store (you can find the order number in the order confirmation email or by logging in to Google Wallet).
KeepMeSafe.tech reserves the right to terminate your access to the Service at any time for any or no reason and without notice to you. You may terminate the KeepMeSafe.tech tracking service at any time by notifying KeepMeSafe.tech via email at firstname.lastname@example.org or by deleting your account. KeepMeSafe.tech reserves the right to delete accounts after 3 months of inactivity (nobody signed in). If a GPS tracker or mobile tracker user (e.g. Keep Me Safe) fails to send any data for 3 consecutive days from the date the device got added to your account, KeepMeSafe.tech reserves the right to remove the device and all of its users from your account without prior notice to you.
KeepMeSafe.tech integrates software and services from various third-party vendors in its solution. By using our products, you agree to accept all Terms of Service agreements related to End Users defined by those third-party companies. You are also informed and agree that if a third party will stop, temporarily not provide or otherwise limit its services, KeepMeSafe.tech can stop or limit its services according to the limitations imposed by those third-party companies upon KeepMeSafe.tech. Upon termination of any of our services you are subscribed to, KeepMeSafe.tech shall have no liability or any further obligations to you regarding the terminated services under this agreement.
Verbal, physical, written or other abuse (including threats of abuse or retribution) of any Spreadit Limited’s customer, employee, member, or officer will result in immediate account termination. You must not upload, post, host, or transmit unsolicited email, SMSs, or “spam” messages.
If your bandwidth usage significantly exceeds the average bandwidth usage (as determined solely by Spreadit Limited) of other KeepMeSafe.tech customers, we reserve the right to immediately disable your account or throttle your file hosting until you can reduce your bandwidth consumption.
MODIFICATION OF THE SERVICE AND FEES
We reserve the right to make any amendments, corrections on the website or the Service at any time and in any manner and to modify or discontinue, temporarily or permanently the Service (or any part thereof), also to change the pricing of the Service at any time with or without prior notification. Furthermore, Spreadit Limited reserves the right to relocate the website to another domain name.
These Terms of Service will apply to all such modifications without the need for any specific notice.
We shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.
You are encouraged to visit our Terms of Service from time to time to review the current terms and conditions of use for our services. Your continued use of the Service following the posting of any changes to the Terms of Service constitutes acceptance of those changes. Unless explicitly stated otherwise, any new features or modifications to the service, shall be subject to these Terms of Service.
To the fullest extent permissible pursuant to applicable law, in no event will KeepMeSafe.tech, its licensors and suppliers, or agents and other employees be liable for any decision made or action taken by you or anyone else in reliance on the information provided by the KeepMeSafe.tech’s Tracking Service or any other software developed by KeepMeSafe.tech. You are solely responsible for the entire risk arising out of using the KeepMeSafe.tech’s Tracking Service and any other software developed by KeepMeSafe.tech.
The KeepMeSafe.tech’s Tracking Service and any other software developed by KeepMeSafe.tech are provided “as is” and without warranties of any kind either express or implied. KeepMeSafe.tech disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. Applicable law may not allow certain warranty exclusions, so one or more of the above disclaimers may not apply to you depending on your location of residence. In matters not covered by the “Terms of Service”, Nigerian law shall prevail.
You understand and agree that the KeepMeSafe.tech’s Tracking Software (and other software developed by KeepMeSafe.tech, including but not limited to Keep Me Safe and I am Safe) is downloaded to your wireless device at your own discretion and risk and that you will be solely responsible for any damage done to your wireless device and/or loss of data, that results from the download and usage of such software. KeepMeSafe.tech does not guarantee that the KeepMeSafe.tech’s Tracking Service or any other software developed by KeepMeSafe.tech will not infringe third party intellectual property rights. KeepMeSafe.tech also does not guarantee the uninterrupted or error-free use of the KeepMeSafe.tech Tracking Service. Temporary interruptions of the KeepMeSafe.tech’s Tracking Service may occur from time to time (e.g. when you drive into an area that has no cell phone coverage or when the cloud environment used by KeepMeSafe.tech or your carrier’s network is undergoing maintenance). KeepMeSafe.tech will exercise reasonable efforts to attempt to limit or prevent such occurrences, but in no event will KeepMeSafe.tech be liable for any financial loss or any other type of damage caused by such interruptions.
KeepMeSafe.tech also does not guarantee the accuracy of the map or other data used by the KeepMeSafe.tech Tracking Service. Such data may not always reflect reality due to road closures, construction, weather, new roads and other changing conditions outside of KeepMeSafe.tech’s influence. KeepMeSafe.tech does not guarantee the security of the KeepMeSafe.tech Tracking Service or the transmission of data or information to and from KeepMeSafe.tech and your wireless device. KeepMeSafe.tech will exercise reasonable efforts to prevent any unauthorized infiltration attempts to its servers, but KeepMeSafe.tech will not be liable to you or anyone else in the event of any unauthorized infiltration of any of its systems.
To the extent permitted by applicable law, you agree to indemnify and defend KeepMeSafe.tech, its suppliers, and its licensors (including their respective licensors, suppliers, assignees, subsidiaries, affiliated companies, and the respective officers, directors, employees, shareholders, agents and representatives of each of them) from any liability, loss, injury (including injuries resulting in death), demand, action, cost, expense, or claim of any kind or character, including but not limited to attorney’s fees, arising out of or in connection with using the KeepMeSafe.tech Tracking Service or any other software developed by KeepMeSafe.tech.
LIMITATION OF LIABILITY
KeepMeSafe.tech is not responsible for acts or omissions of any other service provider, for information provided through the app, for mobile or GPS Watch failure or modification, for system failure or modification or for causes beyond the control of KeepMeSafe.tech.
Your use of the Service is at your sole risk. The service is provided on an “as is” and “as available” basis.
Spreadit Limited implements and maintains practices and procedures, which may be revised periodically, regarding the systems used to host and operate the Service. These practices and procedures are designed to reduce the vulnerability of the relevant IT systems to accidental loss, unlawful intrusions, unauthorized access, disclosure or alteration or wrongful conduct that may interfere with, misappropriate, or otherwise damage the Content within the Service. Within such procedures, Spreadit Limited will also make reasonable attempts to backup all Your data. A description of the practices and procedures is available to you upon request. However, Spreadit Limited cannot guarantee that unauthorized third parties will never be able to defeat such measures to access Content for improper purposes. You are responsible for determining whether these practices and procedures are appropriate to meet your requirements. By using the Service, you acknowledge that there are risks inherent in Internet connectivity that could result in the loss of Customer’s privacy, confidential information and property, and your acceptance of such practices and procedures and their adequacy for Your purposes.
You expressly understand and agree that Spreadit Limited shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, damaged properties and / or vehicles, injury, loss of life or other intangible losses (even if Spreadit Limited has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to the service.
Spreadit Limited does not warrant that (i) the service will meet your specific requirements, (ii) the service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and (v) any errors in the Service will be corrected.
Nothing in this Terms of Service will: (a) limit or exclude any liability for death or personal injury resulting from negligence; (b) limit or exclude any liability for crime; (c) limit any liabilities in any way that is not permitted under applicable law; or (d) exclude any liabilities that may not be excluded under applicable law.
In the event of a breach of this Terms of Service or violation of applicable law by you or any user you will be liable for, Spreadit Limited may terminate your access to the Service immediately or remove the offending content. Spreadit Limited may not be held responsible for any such termination or removal.
KeepMeSafe.tech is not liable for failure to provide the KeepMeSafe.tech Tracking Service if the failure is as a result of:
(i) Natural disasters, such as earthquakes, storms, hurricanes, floods, tornadoes and fires
(ii) Human events, such as wars, civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalisation, labor dispute, strike, riots invasion, act of foreign enemies, hostilities (regardless of whether war is declared), or other major upheavals
(iii) Performance failures outside the control of KeepMeSafe.tech, such as lockout or interruption or failure of electricity, disruptions in telephone service attributable to the telephone company, unavailability or failure of cloud environment, supplier problems (product unavailable) or any other missing or failed infrastructure crucial for KeepMeSafe.tech’s Tracking Service running,
(iv) Restrictions related to the regions where KeepMeSafe.tech’s headquarter or local office is located, such as government restrictions (denial or cancellation of a necessary license), or government sanction, blockage, or embargo,
KeepMeSafe.tech will exercise reasonable efforts to prevent such events from happening and to minimize delay or any damage caused events like the ones described above to the solution environment, but in no event will KeepMeSafe.tech be liable for any financial or other damages caused by or attributed to such events.
If the cause for FORCE MAJEUER status cannot be removed for long time bases and despite having undertaken efforts, KeepMeSafe.tech has the right permanently terminate, shutdown or cancel the service.
KeepMeSafe.tech’s or your failure to require performance of any provision shall not affect that party’s right to require performance at any time thereafter, nor shall a waiver of any breach or default of this Agreement constitute a waiver of any subsequent breaches or defaults or a waiver of the provisions themselves.
If any provision herein is held unenforceable, then such provision will be modified to reflect the intention of the parties, and the remaining provisions of this Agreement will remain in effect. You may not resell, assign, or transfer any of your rights bound or not bound by this Agreement. Any such attempt may result in termination of this Agreement, without liability to KeepMeSafe.tech. KeepMeSafe.tech has the right to assign this Agreement to any affiliate at any time without notice.
You agree that in the event KeepMeSafe.tech is required or requested by you and/or any legal authority to participate in any legal proceeding involving your use of the KeepMeSafe.tech’s Tracking Service or any other software developed by KeepMeSafe.tech, you shall be responsible for all legal fees and costs incurred by KeepMeSafe.tech as a result of such required or requested participation.
By using the KeepMeSafe.tech’s Tracking Service, you consent to receive communications from KeepMeSafe.tech, including notices, agreements, legally required disclosures or other information in connection with the KeepMeSafe.tech’s Tracking Service (collectively, “Notices”) electronically. KeepMeSafe.tech may provide such Notices by posting them on KeepMeSafe.tech’s website or by downloading such Notices to your wireless device. If you desire to withdraw your consent to receive Notices electronically, you must discontinue your use of the KeepMeSafe.tech’s Tracking Service.
By using our services, you accept that Spreadit Limited may display your company’s logo and/or name on its website.
This Agreement and the Service shall be governed by and construed in accordance with Nigerian laws. Any disputes arising in connection with the Agreement or the Service shall be settled primarily without litigation, by means of negotiations. For the case of failure of such settlement, depending on the competence, you agree and submit to the exclusive jurisdiction of the High Court or Supreme Court of the Federal Republic of Nigeria.
The failure of Spreadit Limited to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and Spreadit Limited and governs your use of the Service, superseding any prior agreements between you and Spreadit Limited (including, but not limited to, any prior versions of the Terms of Service).
Due to the global character of the Internet, you undertake to proceed in compliance with the provisions of all applicable national measures in the course of using the website. If any activity related to using the Service is not permitted according to the laws of Your country, you shall exclusively bear responsibility for such usage.
The language of the contract concluded by means of accepting the Terms of Service shall be English, such agreements do not qualify as contracts put in writing, and they are not filed by Service Provider.
You acknowledge that even if the Terms of Service has been translated to other languages, this was done for the convenience of users only, and even in such case the English language version shall prevail as terms of using the Service. In case of any inconsistency between the English language Terms of Service and any other language version, the English version shall prevail.
COPYRIGHT AND CONTENT OWNERSHIP
You acknowledge that the Service is owned by Spreadit Limited, who retains all right, title and interest therein, and is protected by Nigerian and international copyright laws. You do not acquire any intellectual property or other proprietary rights under this Agreement relating to the site, the Service, or any part thereof. Your only rights to the Service and any part thereof shall be those rights expressly licensed or granted to you under this Agreement.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the service, use of the service, or access to the service without the express written permission by Spreadit Limited
Nothing herein grants you any right to use any of Spreadit Limited’s trade names, trademarks, service marks, logos, domain names, and/or other distinctive brand features. Any rights not expressly granted under this Agreement are reserved.
THIRD PARTY SERVICES
The KeepMeSafe.tech’s service utilizes maps and other data licensed by third party organizations for the benefit of end users including you. This Agreement includes links to the end-user terms of these third-party services required by the third-party companies providing them. Your use of the KeepMeSafe.tech’s Tracking Service is limited by and is subject to those terms as well.
The KeepMeSafe.tech’s Tracking Service runs on a public cloud. These Terms of Service have been written with regards to the actual agreement of the Cloud provider and its Terms of Service. You have been informed and you do agree that the Cloud provider can change its Terms of Service at any time even without written prior notice. These occurrences cannot be influenced by KeepMeSafe.tech and thus shall be considered and treated as FORCE MAJEUER. Spreadit Limited will exercise reasonable efforts to prevent such occurrences, but in no event will KeepMeSafe.tech be held liable for any financial or other damages due to such change. The Cloud Provider can apply its own rules for data handling, securing and providing, based on the location of the company’s headquarters, branch, or datacenter; or the legal system the Cloud provider falls within.
